These Terms (“Terms” or “Agreement”) govern all access to and use of the website, Platform, and telemedicine services provided by Övie Health Group PLLC, including its affiliated professional entities, clinicians, representatives, and contractors (collectively, “Övie Health Group,” “Övie,” “we,” “us,” or “our”). By accessing the website, browsing the Platform, creating an account, submitting information, or using any telemedicine or digital clinical services, you agree to be legally bound by these Terms. If you do not agree, you must discontinue all access and use immediately.

1. DEFINITIONS

For purposes of these Terms, the following definitions apply:

1.1. “Services” - All telemedicine, digital health, asynchronous care, synchronous video or audio consultations, clinical evaluations, treatment recommendations, prescription-related activities, communications, follow-up interactions, and any other healthcare or clinical services provided by Övie Health Group.

1.2. “Platform” - All websites, portals, applications, software, systems, and digital tools, whether hosted or operated by Övie Health Group or its authorized service providers, through which Services are made available to you.

1.3. “Provider” or “Clinician” - Any licensed healthcare professional, including but not limited to physicians, nurse practitioners, physician assistants, or other clinicians, who is contracted with or affiliated with Övie Health Group and delivers Services through the Platform.

1.4. “Telemedicine” - The remote delivery of healthcare services using telecommunications technology, including audio, video, chat-based, or asynchronous methods, in accordance with applicable laws, regulations, and professional standards.

1.5. “PHI” - Protected Health Information as defined under HIPAA and related state laws, including any information about your past, present, or future physical or mental health condition, healthcare provision, or payment for healthcare that identifies you or can reasonably be used to identify you.

1.6. “You” or “Patient" - Any individual accessing the Platform or receiving Services from Övie Health Group. Your acceptance of these Terms confirms your legal capacity to consent to telemedicine services, or, if applicable, that you are authorized to consent on behalf of a minor or other person under applicable law.

1.7. “Third Party" - Any independent entity or individual not directly employed by Övie Health Group, including but not limited to pharmacies, laboratories, payment processors, technology providers, and healthcare partners.


2. SCOPE OF TELEMEDICINE SERVICES

2.1. Nature of Services.
Övie Health Group provides telemedicine and digital health services through its Platform, which may include, but is not limited to, review of medical history and submitted health information, clinical assessments and evaluations, diagnosis when clinically appropriate and feasible via telemedicine, development and modification of treatment plans, prescription recommendations, issuance, modification, or denial, referrals to other healthcare professionals or facilities, health counseling and education, monitoring and management of chronic conditions, and follow-up communications and care coordination. All Services are delivered by licensed Providers who exercise independent professional judgment in accordance with applicable laws, regulations, and professional standards. You acknowledge that Övie Health Group acts solely as a technology platform facilitating access to these Services and does not provide medical care, direct clinical oversight, or guarantee any clinical outcomes.

2.2. No Guarantee of Treatment or Outcome.
Submission of information, creation of an account, or a request for care does not guarantee that any treatment, prescription, or clinical recommendation will be provided. Providers, in their sole discretion, may decline treatment entirely, modify or discontinue previously issued treatment or prescriptions, require in-person evaluation or additional diagnostic testing, or terminate a telemedicine encounter if clinically necessary. You understand and agree that clinical outcomes cannot be guaranteed, that telemedicine has inherent limitations compared to in-person care, and that you assume all risk associated with remote healthcare services. Övie Health Group does not control Provider decisions and is not liable for the outcomes of any clinical care provided.

2.3. No Emergency Care.
Telemedicine Services are not appropriate for medical emergencies. You agree and acknowledge that the Services are not a substitute for emergency departments, urgent care centers, crisis intervention services, hands-on physical examinations, or any immediate in-person care. If you experience a medical emergency, you must call 911 or seek immediate in-person care. Providers may instruct you to do so during any telemedicine encounter, and you agree to follow such instructions promptly. Övie Health Group assumes no responsibility or liability for any consequences resulting from delayed or inadequate emergency care.

2.4. Independent Clinical Judgment.
Providers retain full and independent professional responsibility for all clinical decisions, including diagnoses, treatment plans, and prescription recommendations. Övie Health Group does not override, direct, or control Provider decisions, and does not guarantee, warrant, or assume responsibility for any clinical judgment exercised by Providers during telemedicine encounters. You acknowledge that all medical decisions are made by Providers at their sole discretion, and Övie Health Group shall not be liable for any acts, omissions, or outcomes arising from the professional judgment of Providers or affiliated brands offering Services through the Platform.


3. ELIGIBILITY REQUIREMENTS

3.1. Age Requirements.

Eligibility for Services provided by Övie Health Group varies depending on the type of care requested.

In general, you must be at least eighteen (18) years of age to access routine telemedicine consultations.

Certain regulated or risk-sensitive categories of care may require that you be twenty-one (21) years of age or older.

For specialized services, including but not limited to metabolic care, weight management, GLP-1 therapy, hormone-related treatments, or other categories deemed clinically necessary by Providers, you must be twenty-four (24) years of age or older.

Övie Health Group may, in its sole discretion, request documentation to verify your age, identity, and legal capacity to consent to telemedicine services. You acknowledge that providing false or misleading information regarding your age or legal capacity may result in immediate denial of Services, termination of the encounter, or other legal consequences.

3.2. Geographic Restrictions.
You must be physically located within the United States and within a state where the Provider delivering your Services is duly licensed at the time of consultation or engagement. By using the Platform and Services, you represent and warrant that your location information is accurate and truthful. You agree not to falsify your location, use virtual private networks (VPNs), location-altering software, or any other technology to misrepresent your physical location. You acknowledge that access to Services from a state in which the Provider is not licensed may result in denial of care, suspension, or immediate termination of the telemedicine encounter. Övie Health Group shall have no liability for any clinical outcomes, errors, or omissions that result from misrepresentation of your location or failure to comply with geographic requirements.

3.3. Exclusion of Federal Health Program Beneficiaries.
Due to regulatory and legal limitations, you are not eligible for Services if you are enrolled in any federal health program, including but not limited to Medicare, Medicaid, Tricare, or any other federal health benefits program. Övie Health Group does not submit claims to federal health programs and does not accept payment from such programs. All Services are strictly self-pay, and you are solely responsible for payment. You acknowledge and agree that Övie Health Group assumes no responsibility or liability for coverage determinations, reimbursement, or any consequences arising from ineligibility under federal programs.

3.4. Verification and Compliance.
Övie Health Group reserves the right to request and verify documentation, identification, or other information necessary to confirm your eligibility for Services. Failure to provide requested documentation or failure to meet eligibility requirements may result in denial, suspension, or termination of Services at Övie Health Group’s sole discretion. You acknowledge and agree that Övie Health Group assumes no liability for clinical decisions, outcomes, or any other consequences resulting from your failure to meet eligibility criteria or provide accurate information.


4. USER OBLIGATIONS

4.1. Accuracy and Completeness of Information.

You are required to provide complete, truthful, and accurate information when using the Platform or receiving any Services from Övie Health Group. This includes, without limitation, providing current medications, dosages, and frequency; known allergies and prior adverse reactions; your complete medical history, including chronic conditions; past surgeries or procedures; lifestyle factors relevant to your health; accurate personal identification; and current pharmacy and contact information. You acknowledge and agree that failure to provide accurate or complete information may result in refusal of treatment, denial of prescriptions, termination of Services, or other safety risks. Misrepresentation or intentional falsification of information may also expose you to legal liability and may compromise the quality and safety of clinical care.

4.2. Obligations During Consultations.
During all telemedicine consultations and interactions with Providers, you agree to actively participate and follow instructions provided by your Provider. You must disclose real-time symptoms and any changes in your health status, notify your Provider promptly of worsening or new symptoms, comply with any follow-up requests or monitoring requirements, and disclose any changes in medications, health conditions, or location that may impact care. You further agree to use the Platform in accordance with all applicable clinical, legal, and ethical requirements, understanding that your engagement directly affects the safety, effectiveness, and appropriateness of care.

4.3. Technology Requirements and Security.
You are solely responsible for maintaining and ensuring the proper functioning of all technology required to access and use the Platform. This includes, without limitation, having a functioning device capable of supporting telemedicine consultations, using secure and updated software, browsers, or applications, maintaining a stable internet connection sufficient for uninterrupted interactions, and ensuring a private environment to preserve the confidentiality of your consultations. You are also responsible for safeguarding your login credentials and ensuring the security of your account. Övie Health Group, including its Management Services Organization (MSO) partners, shall not be responsible for any service disruptions, errors, failures, or security breaches resulting from your equipment, internet connection, misuse of the Platform, or failure to comply with these obligations.


5. Privacy, HIPAA & Data Handling

5.1. HIPAA Compliance.
Övie Health Group maintains and safeguards your Protected Health Information (“PHI”) in strict compliance with the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”), as well as applicable state privacy laws and professional healthcare standards. All Providers, employees, contractors, and affiliated personnel are trained and required to handle PHI securely and confidentially. Access to your medical information is limited to authorized individuals who require it to provide Services, and safeguards are implemented to prevent unauthorized access, disclosure, or misuse of PHI.

5.2. Consent to Data Practices.
By accessing and using the Platform and Services, you expressly consent to the collection, storage, transmission, and use of your PHI as necessary for the provision of telemedicine and digital health services. This includes, without limitation, sharing PHI with pharmacies for prescription fulfillment, laboratories for diagnostic testing, payment processors to facilitate billing and payment, and authorized healthcare partners involved in your care. You also consent to communications related to your care or the Platform, including messages sent via email, SMS, mobile application notifications, or portal messaging. You acknowledge that sharing PHI with these parties is necessary to provide effective care and to ensure the proper operation of the Platform.

5.3. Retention and Storage.
Övie Health Group retains medical records and PHI for the durations required by federal and state law, professional guidelines, and regulatory mandates. Records may be maintained even after you discontinue use of the Platform or Services, as retention is necessary to comply with legal obligations, support continuity of care, facilitate audits, or meet professional standards. You understand that deletion or removal of records may not occur immediately upon account closure due to these obligations.

5.4. Third-Party Platforms and Services.
Certain Services may involve independent third-party vendors, platforms, or software necessary to deliver telemedicine services. You acknowledge and agree that Övie Health Group does not control the operations, security, or availability of these third-party systems and shall not be responsible for outages, failures, data breaches, or other issues arising from their services. You further agree to comply with any additional terms or policies imposed by third-party platforms and accept responsibility for reviewing and adhering to such terms where applicable. Your use of third-party services is at your own risk, and Övie Health Group disclaims any liability for the acts, omissions, or failures of these third-party providers.


6. MEDICAL TREATMENT & PRESCRIPTIONS

6.1. No Guarantee of Prescription.

You acknowledge and agree that submission of information or participation in any telemedicine consultation through Övie Health Group does not create any guarantee that a Provider will issue a prescription, approve a particular treatment, or provide a specific clinical outcome. Providers exercise independent professional judgment in determining whether to prescribe medications or recommend specific therapies. Based on clinical assessment, safety considerations, or regulatory requirements, a Provider may decline treatment, modify or discontinue existing prescriptions, recommend alternative therapies, require additional diagnostic or laboratory testing, or request an in-person evaluation when deemed necessary to ensure your safety and compliance with applicable laws.

6.2. Controlled Substances.
Övie Health Group Providers do not prescribe or refill controlled substances under any circumstances. This includes, but is not limited to, opioids, benzodiazepines, stimulants, testosterone in certain states, and anabolic agents. You expressly acknowledge that requests for controlled substances will be denied, and that any clinical recommendations will adhere strictly to legal and professional standards. Any attempt to circumvent these restrictions may result in immediate termination of Services.

6.3. Pharmacy Independence.
All pharmacies utilized in connection with Services provided through Övie Health Group are independent third parties. Övie Health Group does not control pharmacy operations and shall not be responsible for any delays, errors, pricing discrepancies, insurance coverage issues, stock shortages, or refusal by a pharmacy to fill a prescription. While Providers may recommend or direct prescriptions to specific pharmacies to facilitate fulfillment, the ultimate responsibility for obtaining prescriptions lies with the patient and the independent pharmacy. You agree that Övie Health Group shall have no liability for any issues, losses, or damages arising from pharmacy-related matters, including shipping, dispensing, or payment issues.

6.4. Laboratory and Diagnostic Testing.
Providers may require laboratory or diagnostic testing as part of your care. You agree to comply with all such requests and provide accurate and complete results to your Provider. Failure to complete requested testing may result in denial of treatment, discontinuation of prescribed medications, or termination of your care relationship with Övie Health Group. Such requirements are necessary to ensure patient safety, maintain compliance with applicable regulations, and support the clinical decision-making process.

6.5. Limitations of Telemedicine.
You acknowledge that telemedicine has inherent limitations compared to in-person care. Clinical decisions, including those regarding prescriptions and treatment plans, are based on the information you provide, your medical history, and your engagement with Providers. Övie Health Group, as the operator of the Platform, does not assume responsibility for professional judgment exercised by Providers, and you agree to hold Övie Health Group harmless for any outcomes resulting from telemedicine services, including adverse events or ineffective treatment.


7. PAYMENT, FEES & NON-INSURANCE STATUS

1. Self-Pay Only.

All Services provided through Övie Health Group are strictly self-pay to our partnered brands. You acknowledge that Övie Health Group does not accept cash directly, does not participate with insurance, and does not submit claims to any private or public health insurance programs. Payment for Services must be made in full to the brand, in advance or as otherwise agreed, and you are responsible for ensuring timely payment in accordance with the amounts and methods specified by partnering brands.

7.2. No Insurance Reimbursement.
Övie Health Group does not provide billing codes, documentation, or other materials for the purpose of insurance reimbursement. You acknowledge that it is your responsibility to understand that Services rendered are not covered by insurance and that you will not be entitled to reimbursement through any insurance program, including private, employer-sponsored, or government-funded plans.

7.3. Refund Policy.
As Övie does not handle patient payment directly, any questions about subscriptions, memberships, or refunds must go through the brand through which you sought care.


8. MODIFICATION, SUSPENSION & TERMINATION

8.1. Right to Modify Terms.

Övie Health Group reserves the right to amend, update, or modify these Terms at any time, in its sole discretion, to reflect changes in the law, Platform functionality, clinical practices, or business operations. Any such modifications shall be effective immediately upon posting on the Platform or notification to you through other reasonable means. Continued use of the Platform or Services after such modifications constitutes your acceptance of the updated Terms. It is your responsibility to regularly review these Terms to ensure awareness of any changes.

8.2. Suspension and Termination of Access.
Övie Health Group may, at its sole discretion, suspend or terminate your access to the Platform and Services for any reason, including but not limited to violation of these Terms, abusive or threatening conduct, fraudulent activity, non-compliance with clinical or follow-up requirements, repeated failure to attend scheduled consultations, misuse of prescriptions, or any conduct that jeopardizes the safety, integrity, or operation of the Platform or the safety of Providers or other patients. Suspension or termination may occur with or without prior notice, and Övie Health Group shall have no liability to you for any consequences resulting from such suspension or termination.

8.3. Effect of Termination.
Upon termination or suspension of access, you must immediately cease all use of the Platform and Services. Termination does not relieve you of any outstanding payment obligations, nor does it limit Övie Health Group’s rights to pursue any remedies available under law or equity. Any provisions of these Terms which, by their nature, should survive termination—including but not limited to sections on Privacy, HIPAA & Data Handling, Limitations of Liability, and Governing Law & Arbitration—shall remain in full force and effect.

9. LIMITATIONS OF LIABILITY

9.1. No Liability.
To the fullest extent permitted by law, Övie Health Group, its affiliates, Providers, contractors, employees, and agents shall have no liability of any kind, whether direct, indirect, incidental, special, consequential, or punitive, arising out of or relating to your access to or use of the Platform, the Services, or any interactions with Providers or third parties. You expressly acknowledge that Övie Health Group does not guarantee any clinical outcomes, and that all Services are provided on an “as is” and “as available” basis.

9.2. No Responsibility for Clinical Decisions.
All clinical decisions, including treatment recommendations, prescriptions, or modifications, are made solely by the Providers or independent brands offering Services through the Platform. Övie Health Group does not direct, control, or assume responsibility for these decisions. You acknowledge that Providers and affiliated brands operate independently, and Övie Health Group shall not be liable for any errors, omissions, adverse events, or outcomes resulting from their professional judgment or decisions.

9.3. Third-Party Services and Brands.
Certain Services may be delivered through or in connection with independent third-party brands, pharmacies, laboratories, payment processors, or other partners. Övie Health Group does not control these third-party entities, their policies, procedures, or actions, and shall have no liability for any delays, errors, omissions, refusals, stock shortages, pricing issues, or other outcomes resulting from their operations. You agree that Övie Health Group shall not be responsible for any acts, omissions, or decisions of affiliated brands or any other third-party providers connected to the Services.

9.4. Technology and Access Limitations.
You acknowledge that access to the Platform and Services depends on technology and internet connectivity. Övie Health Group is not responsible for any technology failures, software errors, internet outages, device malfunctions, or disruptions that may prevent access to or affect the quality of Services. You are solely responsible for maintaining functional devices, secure software, a stable internet connection, and a private environment for consultations.

9.5. Assumption of Risk.
By using the Platform or Services, you voluntarily assume all risks associated with telemedicine, including reliance on information provided by Providers or affiliated brands, the inherent limitations of remote care, and any delays or errors in treatment. You agree to hold Övie Health Group harmless from any claims, damages, or liabilities arising from the acts, omissions, or decisions of Providers, brands, pharmacies, or other third parties.

9.6. Indemnification.
You agree to indemnify, defend, and hold harmless Övie Health Group, its affiliates, Providers, contractors, and agents from any and all claims, losses, liabilities, damages, or expenses (including reasonable attorney fees) arising from your use of the Platform or Services, your violation of these Terms, or your interactions with Providers, affiliated brands, or third-party services. This obligation survives termination of your use of the Platform.

9.7. Acknowledgment of Zero Liability.
You acknowledge and agree that Övie Health Group assumes no liability under any circumstances. Övie Health Group is strictly a technology platform facilitating access to telemedicine and related Services and does not act as a provider, insurer, or guarantor of care. You expressly waive any claims against Övie Health Group for clinical outcomes, third-party decisions, or any other aspect of your use of the Platform.

Telemedicine is provided “as is” and "as available" without warranty. You acknowledge telemedicine has inherent limitations.


GOVERNING LAW & ARBITRATION

10.1. Governing Law.

These Terms, your use of the Platform, and your engagement with any Services are governed exclusively by the laws of the State of California, without regard to its conflict of law principles. You expressly consent to the application of California law and waive any claim that the laws of any other jurisdiction should apply to your use of the Platform or Services.

10.2. Mandatory Binding Arbitration.
Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Platform, or the Services, including claims regarding clinical outcomes, third-party providers, affiliated brands, or pharmacy services, shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration shall be conducted by a single arbitrator with substantial experience in healthcare, digital health, or commercial disputes.

10.3. Waiver of Jury Trial and Class Actions.
By agreeing to these Terms, you waive your right to a jury trial for any disputes. You also agree that all claims must be brought on an individual basis only. You and Övie Health Group expressly waive any right to participate in class actions, class arbitrations, or consolidated actions involving other individuals. The arbitrator shall have no authority to preside over class or collective claims. Any attempt to bring a class or collective action is prohibited and unenforceable.

10.4. Arbitration Procedures and Location.
Arbitration shall be conducted remotely, or at a mutually agreed location in California. The arbitrator’s decision shall be final, binding, and enforceable in any court of competent jurisdiction. The arbitrator shall issue a written award, including findings of fact and conclusions of law. Arbitration shall be conducted in accordance with California law and the AAA Consumer Arbitration Rules, provided that the Rules shall not override these Terms.

10.5. Costs and Fees.
Each party shall bear its own costs and attorney fees, except as otherwise awarded by the arbitrator. Övie Health Group may seek recovery of fees if a claim is found to be frivolous or in bad faith.

10.6. Scope and Survival.
This arbitration agreement applies to all claims, including those that arose before your acceptance of these Terms, and survives termination of your use of the Platform or Services. Any arbitration award may be confirmed in a court of competent jurisdiction, and parties agree to comply fully with such award.

10.7. Severability.
If any portion of this arbitration agreement is found unenforceable, the remaining provisions shall remain fully in effect. The obligations to arbitrate, waive class actions, and comply with the arbitrator’s decision survive termination of these Terms or discontinuation of your use of the Platform.
